Together, the parties are the "Parties".
A. Aussie Real Estate AI is developing an AI software system and related business model for the real estate industry.
B. The Receiving Party may receive confidential information for the purpose of assessing a potential investment, commercial partnership, advisory role, financing arrangement, or related transaction with Aussie Real Estate AI.
C. The Parties enter into this Agreement to protect that confidential information.
The Receiving Party may only use the Confidential Information for evaluating, discussing, negotiating, or completing a potential investment or commercial transaction with Aussie Real Estate AI. The Receiving Party must not use the Confidential Information for any other purpose, including to compete with Aussie Real Estate AI, copy its product, approach its customers, approach its staff or contractors, or develop a competing product or business.
"Confidential Information" means all information disclosed by or on behalf of Aussie Real Estate AI to the Receiving Party, whether before or after the date of this Agreement, in writing, verbally, visually, electronically, through a data room, demonstration, pitch deck, meeting, call, message, file, prototype, or any other form, and regardless of whether it is marked, labelled, or identified as confidential. It includes, without limitation:
Confidential Information does not include information the Receiving Party can prove: (a) was already lawfully known before disclosure; (b) is or becomes public through no breach of this Agreement; (c) was lawfully received from a third party without a duty of confidentiality; or (d) was independently developed without using the Confidential Information.
The Receiving Party must: (a) keep the Confidential Information strictly confidential; (b) use at least reasonable care to protect it; (c) only disclose it to directors, officers, employees, partners, accountants, lawyers, or professional advisers with a genuine need to know for the Purpose; (d) ensure any such person is bound by confidentiality no less protective than this Agreement; (e) not copy, record, screenshot, upload, train AI systems on, publish, or store it except as reasonably necessary for the Purpose; (f) not reverse engineer, copy, imitate, recreate, or build a competing product from it; (g) not contact Aussie Real Estate AI's customers, prospects, leads, suppliers, staff, contractors, or partners using information obtained through it without prior written consent; and (h) promptly notify Aussie Real Estate AI of any unauthorised access, use, disclosure, loss, or suspected breach.
If required by law, court order, regulator, or government authority to disclose, the Receiving Party must, to the extent legally permitted: (a) promptly notify Aussie Real Estate AI before disclosure; (b) disclose only the minimum required; and (c) reasonably cooperate if Aussie Real Estate AI seeks confidential treatment or a protective order.
All Confidential Information remains the property of Aussie Real Estate AI or its relevant owner. Nothing transfers ownership of any intellectual property, data, software, trade secrets, business opportunity, or customer relationship. No licence is granted except the limited right to use the Confidential Information for the Purpose.
Nothing requires either Party to proceed with any investment, transaction, partnership, advisory role, or financing. Any investment will only be binding if the Parties sign separate written transaction documents.
Confidential Information may include forecasts, estimates, assumptions, and forward-looking information. Aussie Real Estate AI does not guarantee it is complete, accurate, or current. The Receiving Party must conduct its own due diligence and obtain its own professional advice.
At Aussie Real Estate AI's written request, the Receiving Party must promptly return or destroy all Confidential Information, including copies, extracts, summaries, screenshots, and derived materials. One archival copy may be kept only if required by law or automatic backup, provided it remains subject to this Agreement.
This Agreement starts on the date it is accepted. The Receiving Party's confidentiality obligations continue for 5 years from the date of disclosure. For trade secrets, source code, technical architecture, customer lists, lead lists, pricing models, and unpublished product designs, the obligations continue for as long as that information remains confidential and not generally known.
The Receiving Party acknowledges that unauthorised use or disclosure may cause serious harm not adequately compensated by damages alone. Aussie Real Estate AI may seek urgent injunctive relief, specific performance, damages, account of profits, legal costs, or any other remedy at law or in equity.
If the Confidential Information includes personal information, customer data, lead data, call data, or CRM data, the Receiving Party must handle it securely and only for the Purpose, and must not upload it to third-party AI tools, public tools, or external platforms without prior written consent.
For 12 months from the date of this Agreement, the Receiving Party must not knowingly bypass Aussie Real Estate AI to directly solicit, contract with, invest in, acquire, copy, or commercially exploit any customer, prospect, lead source, supplier, contractor, strategic partner, or business opportunity introduced through the Confidential Information, except with prior written consent.
The Receiving Party must not make any public announcement, social media post, press release, investor update, case study, testimonial, or other public statement about Aussie Real Estate AI, the Confidential Information, or the discussions without prior written consent.
The Receiving Party must not assign or transfer this Agreement without prior written consent. Aussie Real Estate AI may assign it to a related body corporate, successor, purchaser, or entity involved in a restructure, investment, sale, or transfer of the business or assets.
This Agreement is the entire agreement about confidentiality for the Purpose and replaces previous discussions. Any amendment must be in writing and signed by both Parties.
If any part is invalid or unenforceable, that part is severed to the extent necessary and the rest continues in effect.
This Agreement is governed by the laws of the Australian State or Territory selected by the Disclosing Party. The Parties submit to the non-exclusive jurisdiction of the courts of that State or Territory.
The Receiving Party is responsible for ensuring that every director, officer, employee, contractor, agent, adviser, related body corporate, and other representative to whom it discloses any Confidential Information complies with this Agreement. The Receiving Party is liable for any act or omission of those persons as if it were the Receiving Party's own breach, and remains primarily liable for protecting the Confidential Information.
The Receiving Party indemnifies and holds harmless Aussie Real Estate AI against all loss, damage, cost, and expense (including legal costs on a full indemnity basis) arising out of or in connection with any breach of this Agreement by the Receiving Party or its representatives, or any unauthorised use or disclosure of the Confidential Information. This indemnity is in addition to, and does not limit, any other right or remedy available to Aussie Real Estate AI.
The Receiving Party acknowledges that Aussie Real Estate AI (or its licensors) owns all right, title, and interest in the Confidential Information and all related intellectual property, including all ideas, concepts, business model, branding, software, and know-how. The Receiving Party will not, directly or indirectly, apply for, register, claim, contest, or challenge the ownership or validity of any such intellectual property, and will not use any confusingly similar name, brand, or product identity. Any improvement, derivative, or contribution arising from the Confidential Information vests in and is assigned to Aussie Real Estate AI on creation.
No failure or delay by Aussie Real Estate AI in exercising any right is a waiver of that right. This Agreement binds and benefits the Parties and their successors and permitted assigns. Electronic acceptance of this Agreement (including by completing and submitting the acceptance form, typing a name as signature, and ticking the acknowledgement) has the same effect as a handwritten signature and is admissible as evidence of agreement.
